The reason to incorporate is to protect one's private assets from the vagaries of the business world; as a separate legal entity from you, incorporating your penis would for example, prevent someone from siezing your balls should that person sucessfully sue your penis. This does assume that you did not include your balls as your penis's assets, but rather as your personal assets.
